League Constitution

 

ARTICLE I

 

GENERAL PROVISIONS

 

1. The League organized through this Constitution shall be an unincorporated association, organized as a non-profit group under the laws of the State of Florida.

 

2. The registered offices of the League shall be at 901 Sandywood Drive, city of Brandon, county of Hillsborough, and state of Florida. The League may also have such offices or mailing addresses, as it may deem necessary.

 

3. The League shall adhere to the laws of any state, province, commonwealth or other political subdivision in which a franchise is located or from anywhere the league conducts business.

 

4. The objectives for which this League is organized are: (a) to promote the interests of the members of the League, (:D to promote the interests of fantasy sports, © to provide for the equitable treatment and well being of all participants in the League, (d) to continually strive for both excellence of play as well as competitive balance throughout the League, and (e) to maintain the highest integrity in all matters.

 

5. Rules of Championship Play that pertain to one league will not necessarily be applied to all leagues. This League Constitution will be the only document that all leagues will be bound to.

 

6. There shall be, in addition to this League Constitution, similar to yet subordinate documents, agreements or instruments that shall enhance upon this League Constitution and further define the laws of the Leagues. These subordinate documents shall consist of, but not necessarily be limited to: League Rules of Championship Play and the League Scoring Systems.

 

7. The League commissioners, the League Management Council, or the League Board of Governors may enact other Instruments or agreements as subordinate documents or agreements.

 

8. The League Rules of Championship Play shall be an enhancement of this League Constitution; it shall more clearly define the regulations of the Leagues, and shall be of such detail as may be necessary. Rules of Championship Play shall be enacted initially by the League commissioner, with the advice and consent of two-thirds concurrence of the League Board of Governors. Once enacted, League Rules of Championship Play may be amended or altered either (a) upon the consent of the League Commissioner and a majority concurrence of the League Board of Governors, or (:D by the two-thirds concurrence of the League Board of Governors, without regard of the consent of the League commissioner. League Rules of Championship Play may be repealed in their entirety if replaced by a similar, new set of League Rules of Championship Play.

 

9. The League Commissioner shall draft the League Rules of Championship Play each year. The League Commissioner shall submit said rules to the League Board of Governors no later than 2 weeks before the regular season of the sport. The League Rules of Championship Play must be approved by a majority concurrence of the Board of Governors within thirty (30) days of their submission. If they are not enacted in that time, any previous League Rules of Championship Play in existence shall prevail until the new rules are enacted.

 

10. The League Commissioner, with the advice of the League Statistician shall draft the League Scoring System each year. Consent by the League Board of Governors or the League Management Council shall not be required.

 

11. This League Constitution, and the actions of this organization which shall be made in pursuance thereof, shall be the supreme law of the League and Leagues; and the owners and officers and all members shall be bound thereby, anything to this League Constitution to the contrary notwithstanding.

 

12. In any and all matters not otherwise directed by the League Constitution, League Rules of Championship Play, League Scoring System, or other subordinate documents which may be enacted, the League Commissioner shall have the authority to enact and impose any measure he deems fit and proper, and in the best interests of the League.

 

13. Each League will have a Commissioner and Board of Governors. The Board of Governors shall convene when necessary, and a quorum at meetings shall consist of one member greater than one half of the total registered membership of the Board of Governors. The Board of Governors shall when in session select a Chairman and such other officers, as they may deem necessary.

 

14. The League Commissioner shall have authority in any and all matters not covered in these documents.

 

15. The World Wide Web site for this League will be determined at a later date (and announced).

 

 

ARTICLE II

 

MEMBERSHIP

 

1. Membership in this League shall be limited to those members who have actively participated in League championship competition, during the year of the adoption of this Constitution, and such new members as may thereafter be duly admitted.

 

2. Any individual, association, group, partnership or other entity of good repute shall be eligible for membership in the League.

 

3. Each applicant for membership shall apply to the League Commissioner, with such application containing information pertinent to the membership, including, but not necessarily limited to: the names and registered addresses of all persons who are to have interest in the applicant, and the location where the club of the applicant would be located if the application were to be approved. A check or money order shall accompany each application for membership, payable to the Commissioner or the Treasurer of the League, in such amount as the League Management Council may determine.

 

4. Each applicant who is approved for membership into the FFTFL shall receive a copy of the League Constitution, League Rules of Championship Play, and League Scoring System, as well as information pertaining to League play and team scoring. Each new member has ten (10) days to review said documentation and decide whether she/he wants to become an owner. New members that do not respond within ten (10) days are officially declared FFTFL owners and must abide by all rules and regulation of the FFTFL.

 

5. The specific procedures for the submission and approval of all applications for membership shall be determined, and enacted in the League Rules of Championship Play; however, no applicant for membership shall be approved without a two-thirds concurrence of the League Board of Governors.

 

6. The specific procedures for the termination of a membership in this League shall be determined, and enacted in the League Rules of Championship Play.

 

7. The specific procedures for the transfer of ownership, in whole or in part, of a franchise in this League shall be determined, and enacted in the League Rules of Championship Play.

 

8. Notwithstanding the foregoing, the League Board of Governors shall have the authority to impose such further and other conditions or requirements that are not inconsistent herewith, as it may deem fit and proper as conditions of admission to receive membership.

 

 

ARTICLE III

 

FINANCES

 

1. Whenever funds are required to meet the expenses of a League within the budget approved by the League Board of Governor, the League Commissioners shall request, and each League member shall forthwith contribute, equally its share of the necessary funds.

 

2. A procedure for the budgeting of League finances shall be determined and enacted in the League Rules of Championship Play.

 

3. The fiscal year of this League shall end on the thirtieth (30th) day of July in each year, and the next ensuing fiscal year shall then commence.

 

 

ARTICLE IV

 

GOVERNMENT

 

1. Except as otherwise provided for in this League Constitution, the League government shall be vested in a League Board of Governors.

 

2. The League Board of Governors shall be comprised of one representative from each member franchise in the League, chosen by that franchise in such manner, as it may deem fit and proper.

 

3. No restriction shall be made which shall prohibit any franchise owner or officer of the League from serving on the League Board of Governors.

 

4. Any action of the League Board of Governors shall be by a majority concurrence of the body, unless otherwise determined by this League Constitution, or by any other subordinate documents, which may be enacted.

 

5. A resolution agreed to by telephone conference, modem communiqué, telephone facsimile, letter, proxy, or other means shall have the same effect as if duly passed at a regularly constituted meeting by the proper majority required to pass such resolution.

 

6. The League Board of Governors shall elect a Chairperson and such other officers, as they deem necessary. The times, locations, and all other items relative to meetings of the League Board of Governors shall be determined and enacted in the League Rules of Championship Play.

 

7. In the interim between meetings of the League Board of Governors, the League governmental authorities shall devolve upon the League Management Council, to be composed of three members. The composition and structure of this body shall be determined and enacted in the League Rules of Championship Play.

 

8. The League Management Council shall have all powers, authorities, and duties that would be vested in the League Board of Governors if in session, any restrictions on the authorities of the League Management Council shall be determined and enacted in the League Rules of Championship Play.

 

9. The times, locations, and all other items relative to meetings of the League Management Council shall be determined and enacted in the League Rules of Championship Play.

 

10. The League Board of Governors shall select a person of unquestioned integrity to serve as the League Commissioner of the League. The League Commissioner shall serve a provisionary term of one year and can be extend to a term of five years from the first day of March ensuing his or her election.

 

11. The League Commissioner shall be elected by a two-thirds concurrence of the League Board of Governors, and a League Commissioner may be elected to consecutive terms in offices. If, at the time set for the commencement of League Commissioner, the League Commissioner-elect shall for whatever reason be permanently unable to serve in that capacity, the League Deputy Commissioner shall, if not already acting in that capacity, become League Commissioner. In the event a League Commissioner is not elected before the time set for the commencement of his/her term in office, the League Deputy Commissioner shall act as League Commissioner until such a time as a League commissioner is duly elected.

 

12. The League Commissioner shall be the chief executive officer of the League, and shall discharge the duties imposed upon him/her by this League Constitution, the League Rules of Championship Play and other subordinate documents, the League Board of Governors or the League Management Council. He/she shall have charge of the operation, supervision, and the direction of the League and its affairs. He/she shall nominate executive officers in accordance with such procedures herein mentioned. He/she shall draft, in accordance with this League Constitution as well as the League Rules of Championship Play, the League budget for the upcoming fiscal year. He/she shall have such powers as may be necessary from time to time in order to preserve and protect the best interests of the League. He/she shall further enjoy any and all powers and authorities, which are not, by this League Constitution, the League Rules of Championship Play or other subordinate documents, or the acts of the League Board of Governors, otherwise delegated to other League officers, or bodies.

 

13. The League Commissioner shall nominate, and the League Board of Governors shall, by three-fourths concurrence confirm, qualified persons to the offices of League Deputy Commissioner, League Secretary, League Treasurer and League Statistician, and other such officers as may be necessary from time to time. The terms of such officers shall be one year from the date of their confirmation, and all other successors shall have been confirmed. The duties of the officers herein mentioned shall be determined and enacted in the League Rules of Championship Play.

 

14. All executive officers shall be removed from the office on impeachment for, by the two-thirds concurrence of the League Management Council, and conviction of, by similar concurrence of the League Board of Governors, malfeasance or other crimes or misbehavior in office.

 

15. In the event of the removal of the League Commissioner from office, or his/her death or resignation, the League Deputy Commissioner shall become League Commissioner, and shall serve the remainder of any unexpired term. Whenever the League Commissioner transmits to the League Board of Governors his declaration that he is unable to discharge the duties of his office, and until such time that he transmits to the a declaration to the contrary, such powers and duties shall be discharged by the League Deputy Commissioner as Acting League Commissioner. The League Rules of Championship Play shall contain provisions for circumstances when there is a vacancy in the office of League Deputy Commissioner or any executive office, and who shall act or serve as the commissioner whenever there is as neither a League Commissioner nor League Deputy Commissioner to discharge the powers and duties of the office of Commissioner.

 

16. Subjected only to the provision of this League Constitution, the League Rules of Championship Play and such other subordinate documents to this League Constitution, which may be enacted, or the dictate of the League Board of Governors, the members of this League shall be and remain autonomous.

 

ARTICLE V

 

AMENDMENTS

 

1. The League Rules of Championship Play or other subordinate documents which may be enacted by the League Commissioner which may be amended using the same procedures as were originally enact such instruments, or via any procedure of amendment which may be set thereafter.

 

2. This League Constitution shall be binding upon all members of the Leagues, and shall be reviewed every year by a Constitutional Review Commission, to be composed of members selected by members of the League Board of Governors. The commission shall make such recommendations for the amendment of this League Constitution, as it shall deem fit and proper.

 

a. The Leagues Board of Governors may by three-quarter concurrence (of all members that vote), amend this League Constitution.

 

b. League Management Council may, by two-thirds concurrence, propose and submit to the League, amendments to this League Constitution. Any such amendments to this League Constitution shall be ratified by a two-thirds concurrence of the Leagues Board of Governors.

 

c. A League Commissioner may, at his discretion, propose and submit to the League Board of Governors, amendments to this League Constitution. Any such amendments shall be ratified by two-thirds concurrence of the all the League Board of Governors.

 

3. When convened specifically for such purposes, the League Constitutional Review Commission may, by majority concurrence, propose and submit to the League Board of Governors, amendments to this League Constitution. Any such amendments shall be ratified by a three-fourths concurrence of the entire League Board of Governors at a meeting duly organized.
