Arby's restaurant owner to buy Buffalo Wild Wings for $2.4 billion

(Reuters) - Arby's restaurant owner Roark Capital Group will buy Buffalo Wild Wings Inc (BWLD.O) for $2.4 billion, months after an activist investor won seats on the chicken wing restaurant's board following a proxy fight demanding management change.
Buffalo Wild Wings shares were up 6.6 percent at $156 in premarket trading on Tuesday.
Private equity firm Roark will buy the company for $157 per share, representing a premium of 7.2 percent to the restaurant's Monday's close.
Roark's offer is at a 34 percent premium to the stock price on Nov. 13, the last trading day before media reports that private equity firm had made an offer of more than $150 per share.
The deal is the latest in a flurry of restaurant takeovers by private equity firms. In October, casual dining chain Ruby Tuesday was bought by NRD Capital for about $335 million, while Luxembourg-based JAB Holdings took U.S. food chains Panera Bread and Krispy Kreme Doughnuts private over the last two years.
Including debt, the Buffalo Wild Wings deal is valued at about $2.9 billion.
Activist hedge fund Marcato Capital Management, which had put pressure on the company to pursue strategies to boost its stock price, said it would vote for the deal.
Marcato, which owns 6.4 percent of Buffalo Wild Wings, won three seats on the company's board in June after a sustained campaign criticizing its performance under Chief Executive Sally Smith.
Following the deal close, expected during the first quarter of 2018, Buffalo Wild Wings will become a privately held unit of Arby's and operate as an independent brand.

Stopped into Arby's a couple weeks ago for the first time in ages. Had a hankering for the CB&S sammich, used to love them. Much to my displeasure they've now switched it all around. Bread and chicken was different and they put tomato on it now and I hate tomato on my sammiches. I was so bummed :(

Worked at Arbys for a summer in college, still kinda like their roast beef sandwiches. And their potato cakes are awesome.

As far as BW3 they are ridiculously overpriced, and they have 20 tap beers of which 18 of them are domestic garbage. I do like their caribbean jerk wings however

I think what you are missing is the fast food wing concept. Good wings on a to go menu might just work.

BW3s used to be decent, but they've really turned shitty in the last couple of years.

I was in Ohio 20 years ago when BW3's was the s***. Most people don't know what the third W stands for. Losing that was part of their descent down the corporate crap hole.

Every time I eat there, the wings are under done. I finally learned to ask for them extra crispy. So, I get dry chicken Gristle, but I don't get salmonella.

So there's that.

BW is the WalMart of chain restaurants. From the employees to the clientele - that place invents a new lowest common denominator each day.

I don't mind Outback.

When I was younger I'd do the big chain restaurants because they were cheaper. Now we rarely go to a chain. I'd rather support small businesses + the food is normally much better.

Good call. Decent food. Love their bread.

Call me crazy but my favorite chain is Texas Whorehouse.

Peanuts, and bread, yum yum

Their veggies are terrible, they soak them in butter. steak and ribs are typically good

Do they really? I could be mistaken, but I think they have like $1 draft nights during the week...... Last time I tried to go in for a few, it was one they allowed smoking. A cloud of choking Marlboro smoke hit me as soon as I walked in - walked right back out.

I don't think they have Pappas outside of Texas, which I think they're all overrated. Except pappas burgers and their steakhouse, rest of them can suck my cockapoo

Arbys used to be decent. But when you pay like 5 bucks for a single half assed beef, it isn't really worth it. The commercials are annoying as hell these days too.

Been to BWW once or twice in my life. Not sure why anyone would want to go there. At least arbys is a drive thru. Why would I choose to go sit down in BWW?

Only reason we/I go there is it's the only place in the mall we go to, other than the crappy food court.

oh and TV heaven

And come to think of it, the "chicken" doesn't even taste like chicken from what I remember. I swear it's fake.

TV's would be about the only thing. But in my world, I don't really go out to watch sports. So it is basically an applebees with a few more TVs.

Staring at the muted TVs is the highlight of those places.

I only buy their sauces and the desert heat dry rub. I put the rub on my own wings then smoke them and toss with their sauces. Finish them on the grill to crisp up the skin. 10X better than having them make um.

Sure. But I guess I am not familiar with them enough to know about these awesome sauces? What sauce? I like a hot garlic sauce, and that is easy to do myself.
