This is my first time posting in this thread. If musk's offer is 54.20 how come the stock price sits at 49.03?

The DJIA has been on a downward trend and i think most people would expect that to continue. You could park money in twitter and be guaranteed ~10% once that deal is finalized.

Is this entire deal fake? Is Musk just playing the crowds, why is the market giving up free money?

Just to play devil's advocate......I mean- writing a law to take away something that existed for a company for 55 years just because they chose to speak out about their disagreement with something- is kind of weaponizing against free speech as well. 

The lesson here is- both sides are hypocritical about these things and refuse to see it in themselves. Additionally, let the public vote with their choices and dollars.

I mentioned yesterday (and it got buried under HT's changing definitions of words BS)- there are rumblings the deal is not going to happen and the market is basically saying "We believe that to be the case." Tesla stock is dropping, there are questions about how China would be involved in this, and the numbers are matching up overall. Some belief at the time was this was going to be a pump and dump deal and it is looking increasingly like that.

Because there is a chance the deal doesn't go through, and if it doesn't go through then the stick is not worth $49.

Either Musk could change his mind or there could be some sort of legal or regulatory approval issue.

FYI, this happens with all public sales.  The percentage discount is related to the risk of the deal falling through.

Right...but the worry, or belief is, this is a deal that should have no roadblocks so it should be pushing the stock upward more and it is doing the opposite. Basically the investors are not sold it is happening.

I'd believe there might be some of that.  I have for example seen some tweets saying they asked to be reinstated and it was approved.  But I don't really believe they just suddenly changed the algorithm so people see more conservative people's tweets.

if the board doesn’t approve the sale they pay 1 bill to musk and if musk changes his mind he pays 1 bill to the company. That’s in the agreement already

Well I don’t know and you could be correct, but I’m not sure you can assume it’s the case. Could be the agreement is it costs if you just flat out choose not to do the deal, but there may be many other outs where it doesn’t cost, or at least costs comparatively little. Typically there is a due diligence and buyers give themselves all the outs they can
